1. Introduction
Welcome to Bioscaley. We provide AI-driven recruitment solutions for biotech startups and scale-ups worldwide. By using our services, you agree to these terms and conditions, which outline our commitments, your responsibilities, and key policies. These terms apply to all interactions with Bioscaley, including accessing our website, submitting information, utilizing our recruitment services, and engaging with our AI-driven hiring tools.
Bioscaley operates as a recruitment intermediary and does not guarantee hiring outcomes, candidate performance, or compliance with local employment laws. Clients and candidates are responsible for conducting their own due diligence before entering into agreements.
2. Client Terms
2.1 Subscription Model & Fees
Bioscaley offers a subscription-based recruitment service designed to align with the needs of startups and scale-ups. Clients agree to pay monthly fees based on their selected plan, which includes specified recruitment services. Additional fees may apply for premium services such as employer branding, market reports, salary benchmarking, or executive search assistance. All fees are payable in advance and non-refundable unless otherwise agreed. Changes to subscription tiers must be requested in writing and will take effect in the following billing cycle.
2.2 Candidate Replacement & Non-Circumvention Policy
If a hired candidate leaves the company within 30 days of employment, Bioscaley will provide a one-time replacement at no additional cost, provided the departure is not due to layoffs, internal restructuring, or contract breaches by the employer. If no suitable replacement is found within a reasonable timeframe, Bioscaley may offer an alternative solution, such as extended candidate searches or credit toward future hires. Clients must notify Bioscaley within7 days of the candidate’s departure to qualify for a replacement.
Clients agree not to directly approach or hire candidates introduced by Bioscaley within 12 months of introductioneven after subscription cancellation. Any direct hiring outside of Bioscaley’s process will result in a full placement fee. Clients Bioscaley candidates to third parties to avoid fees.
2.3 Hiring Timelines & Candidate Selection
Bioscaley commits to delivering pre-screened candidate profiles within an agreed timeframe, typically ranging from 1 to 2 weeks depending on role complexity. However, hiring decisions rest solely with the client, and Bioscaley does not guarantee candidate acceptance, performance, or retention beyond the agreed replacement period. If a client delays the hiring process beyond 2 weeks, Bioscaley reserves the right to withdraw the candidate from consideration to ensure fairness to all parties involved.
2.4 Payment, Refunds & Termination Terms
- Payments are due upfront per the agreed subscription model. Late payments may result in service suspension and additional fees.
- Clients may cancel their subscription with 30 days’ notice, after which the next billing cycle will not be charged. However, active searches in progress will be completed as per the agreed terms.
- Refunds are not provided unless Bioscaley fails to deliver services as contractually agreed.
- Clients are responsible for compliance with the EU Late Payment Directive 2011/7/EU.
3. Candidate Terms
3.1 AI Matching & Job Placement Disclaimer
Bioscaley’s AI-driven platform matches candidates with relevant job opportunities based on experience, skills, and preferences. AI-based job matching is a recommendation system and does not guarantee job placement or hiring success. Final hiring decisions are made by employers, and Bioscaley is not responsible for employment contracts, job offers, or post-hiring disputes.
3.2 Data Privacy, GDPR & Cybersecurity Compliance
Bioscaley complies with the General Data Protection Regulation (GDPR) (EU) 2016/679). By submitting a CV or company information, candidates and clients consent to Bioscaley storing and sharing their data solely for recruitment purposes. Personal data will not be sold, distributed, or used for marketing without explicit consent.
Cybersecurity & Data Breach Policy:
Bioscaley implements industry-standard encryption & security to protect client and candidate data.In case of a data breach affecting personal data, Bioscaley will notify affected users within 72 hours (GDPR-compliant).Bioscaley is not responsible for breaches caused by third-party platforms (e.g., cloud providers, ATS systems).
4. General Terms & Legal Considerations
4.1 Governing Law & Dispute Resolution
These Terms & Conditions are governed by the laws of The Netherlands. Any disputes arising from or related to these terms shall first be resolved through arbitration before legal proceedings, in accordance with Dutch arbitration laws. The arbitration shall be conducted by a mutually agreed-upon arbitrator, and both parties shall bear their own costs unless otherwise determined by the arbitrator. If arbitration does not result in a resolution, legal proceedings shall take place in the courts of The Netherlands.
For cross-border recruitment services, Bioscaley adheres to the European Union legal framework, ensuring compliance with EU employment laws, GDPR regulations, and fair hiring practices across member states. Disputes involving international hiring shall be subject to EU arbitration guidelines, and if unresolved, the matter will be handled under relevant EU court jurisdictions.
4.2 Liability Limitations & Indemnification
Bioscaley is not responsible for disputes arising between employers and employees post-hire. We do not assume liability for employment conditions, salaries, terminations, or contract disputes. Clients and candidates must conduct their own due diligence before entering into agreements.
Clients agree to indemnify Bioscaley against any legal claims, damages, or penalties resulting from their hiring practices. Candidates agree to indemnify Bioscaley if they misrepresent their experience, credentials, or legal work status.
4.3 Intellectual Property & Service Modifications
All content, AI recruitment methodologies, and proprietary tools provided by Bioscaley remain our intellectual property and may not be copied, redistributed, or reverse-engineered without prior written consent. Unauthorized use of Bioscaley’s brand, software, or sourcing techniques may result in legal action.
Bioscaley reserves the right to modify, suspend, or discontinue any aspect of its services, including AI-powered job matching, without prior notice. While we strive to maintain service availability, we are not responsible for disruptions due to unforeseen technical issues, third-party service failures, or cybersecurity incidents. In such cases, Bioscaley will work to restore services as soon as possible and communicate updates to affected users.
